Pursuant to LF Summer Musical's Bylaws, the President has called for nominations for three (3) Director positions. The previous Directors whose two-year terms have expired are eligible to be nominated and elected for additional terms. Nevertheless LF Summer Musical is actively seeking new leaders and supporters, and any nominations will be carefully considered by the Board.
DUTIES AND QUALIFICATIONS; LF Summer Musical's Board members participate in one annual meeting and one or two more occasional meetings each year (generally via Zoom or email, and someday in person) to satisfy the governance requirements of the organization's Bylaws and Articles of Incorporation as a 501(c)3 not-for-profit organization. Board members also bring their unique talents and experience to the work of producing musicals and plays in Little Falls, and supporting the organization's long-term success and sustainability. Candidates must meet the following qualifications:
Support LF Summer Musical's Purpose of providing educational opportunities through community theatre production and performance in Morrison County, Minnesota.
Committed to fulfilling all obligations of a Director for a term of 24 months.
18 years of age or older.
In addition to maintaining their qualifications to serve on the Board, Directors bear fiduciary duties of care and loyalty to LF Summer Musical. Directors shall take care to uphold the Bylaws to the best of their abilities, and shall take actions consistent with the Purpose of LF Summer Musical. Board members are responsible for the ongoing financial health of LF Summer Musical, and for understanding the content and significance of the organization’s financial statements and audits (as applicable). Board members are responsible for suitably informing themselves in order to actively participate in regular decision-making processes of the Board.
Directors shall not be compensated financially for serving as a Director, except to reimburse expenses or to fulfill obligations of contracts entered by LF Summer Musical pursuant to Board actions.
Little Falls Summer Musical is a Minnesota not-for-profit corporation organized exclusively for charitable and educational purposes as specified inSection 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code.LF Summer Musical provides educational opportunities through community theatre production and performance.
